Holcim to Acquire Fermacell

ZUG, Switzerland — Holcim has entered into an agreement to acquire Fermacell from James Hardie Industries plc. Fermacell specializes in sustainable walling and flooring solutions.

Holcim said in an emailed press release today that the acquisition expands its offerings in European walling, flooring, and fire protection. The transaction value is EUR 840 million.

Strategic Expansion

The acquisition aligns with Holcim’s NextGen Growth 2030 strategy, which aims to shape the future of sustainable construction. Holcim CEO Miljan Gutovic stated the deal is a milestone in the company’s vision to be a leading partner for sustainable construction.

Fermacell’s brands, including fermacell and Aestuver, will complement Holcim’s existing premium brands. This integration will broaden Holcim’s offerings in integrated building systems and modular construction.

Financial Details

The transaction represents an implied pro forma 2027 EBITDA multiple of 9.5x. This multiple reduces to 7.6x after run-rate synergies of approximately EUR 22 million, which Holcim expects to realize in year three after closing.

Holcim expects the acquisition to be earnings per share accretive in the first year. The transaction is subject to customary conditions and regulatory clearances and is expected to close in the first half of 2027.

Fermacell Operations

Fermacell is headquartered in Dusseldorf, Germany. It has more than 1,000 employees and operates in 13 European markets. The company runs six production sites across Europe.

Fermacell is a leader in high-performance fiber gypsum and cement-bonded boards. It projects net sales of around EUR 430 million for 2026.
