BAD HOMBURG, Germany — Fresenius SE has entered into an agreement to sell approximately 7.8 million shares in Fresenius Medical Care to selected institutional investors.
The shares represent approximately 2.9% of Fresenius Medical Care’s issued share capital and are valued at about €300 million, Fresenius said in an emailed press release today.
The transaction represents another step in the company’s #FutureFresenius transformation and its value-oriented reduction of its financial investment in Fresenius Medical Care.
Strategic Rationale
Fresenius said the transaction would strengthen its balance sheet and create additional flexibility to redeploy capital into its growth platforms.
CEO Michael Sen said the move supports the company’s goal of becoming a more focused business with a stronger balance sheet and greater capacity to pursue growth opportunities.
Capital Allocation
The net proceeds will be used to reduce Fresenius Group’s net debt and will also be available for future investment in line with the company’s capital-allocation priorities.
Fresenius has treated its holding in Fresenius Medical Care as a financial investment since the business was deconsolidated in 2023.
Financial Impact
Fresenius expects the transaction to generate a book gain in the low to mid-double-digit million-euro range. The gain is expected to be recorded as a special item in the Group’s third-quarter 2026 results.
Fresenius said it would continue to assess and manage its remaining Fresenius Medical Care holding, subject to market conditions, capital-allocation priorities and applicable lock-up arrangements.
